I might need to go look at one, that my dad and I will potentially share. It's a coupe with 40,000 orig. miles I am told. '67 coupe, 289/C4 orig to the max.
What do I look for.. especially rust wise?

Hey JC, esp look for cowl rust on both sides, once they go so does the floorpans, from the inside look or feel up inside the dash on each side. The frame rails, drip rails, trunk and the shock mounts in the front is a good place to start. unlike our trucks, you can buy every part for the car except for the roof.

just like charlie said. those floor pans rot out quick, I am glad I found one that didnt. check them rear quarter panels. look inside the trunk to see how much crud is piled up down inside each side. also look at the shock towers check the sections above the engine mounts, when the metal is really fatigued the seams start to split. I had to weld mine back up while it was on the frame machine at the body shop many years ago. also look at them frame stubs up front and back, the 6 banger 67 I had before this one only had 50% of that left the top part of the shock tower collects water after being washed and you get rust spots right where the hood seals on each fender... you know, the usual stuff

The rear 1/4's weren't much to brag about either.

So from what I can gather, the inside of the cowl under the grilles was never painted in Mustangs. I assume they would rot right at the sides, first.
Were the floor pans unpainted too? or they just rot after the cowl lets go?
and where are these torque boxes I always hear rot out on 'Stangs?

The torque boxes are an angled piece that connects the floor out board of the frame rail at about the rocker to the bottom of the frame rail. The "box" is actually triangular in cross section. Take a look here JC. Lots of repair info but it will also show you what to look for.
